All projects begin with a consultation and proposal. A project is considered accepted when both parties sign a written agreement or exchange written confirmation via email.

The scope of work will be clearly defined in the project agreement. Any changes to the scope must be agreed upon in writing and may result in adjusted timelines and fees.

3.3 Client Responsibilities

Clients agree to:

• Provide timely feedback and required materials
• Respond to communications within 3 business days
• Provide accurate project requirements and information
• Make timely payments as per the agreement
• Ensure they have rights to any materials provided

4. Payment Terms

4.1 Pricing and Fees

Project fees will be outlined in individual project agreements. Payment terms vary based on project scope and duration.

4.2 Payment Schedule

Typical payment structures include:

• Small Projects: 50% upfront, 50% upon completion
• Medium Projects: 40% upfront, 30% at milestone, 30% upon completion

4.3 Late Payments

Invoices are due within 7 days of issuance unless otherwise specified. Late payments may result in:

• Work suspension until payment is received
• Late fees of 5% per month on outstanding balance
• Project termination for payments over 14 days late

4.4 Refunds

Refund eligibility is subject to our 30-day quality guarantee policy, outlined in individual project agreements. Non-refundable deposits and completed work are excluded.

5. Intellectual Property Rights

5.1 Client Ownership

Upon full payment, clients receive ownership of the final deliverables and custom code created specifically for their project, excluding:

• Third-party libraries and open-source components
• Reusable code modules and templates developed prior to or independent of the project
• Tools, frameworks, and methodologies used in development

5.2 Portfolio Rights

We reserve the right to:

• Display completed projects in our portfolio
• Use project screenshots and descriptions for marketing
• List client names and project types (unless covered by NDA)

5.3 Client Materials

Clients grant us a license to use any materials they provide (logos, content, images) solely for the purpose of completing the project.

6. Confidentiality and NDA

We respect client confidentiality and can sign a Non-Disclosure Agreement (NDA) when required. We commit to:

• Protect sensitive business information
• Not disclose project details without permission
• Use secure communication and file transfer methods
• Delete client data upon request after project completion

7. Warranties and Guarantees

7.1 Quality Guarantee

We guarantee:

• Work will meet specifications outlined in the project agreement
• Code will follow industry best practices and standards
• Deliverables will be functional and tested for common browsers/devices
• 30-day bug fix period for issues arising from our work (not third-party services)

7.2 Limitations

We do not guarantee:

• Specific business outcomes or revenue results
• Search engine rankings or traffic
• Compatibility with future browser/platform updates
• Third-party service availability or performance

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability is limited to the amount paid for the specific project
• We are not liable for indirect, consequential, or incidental damages
• We are not responsible for data loss (clients should maintain backups)
• We are not liable for issues caused by third-party services or client-provided materials

9. Project Cancellation and Termination

9.1 Client Cancellation

Clients may cancel a project with written notice. In such cases:

• Client pays for all work completed to date
• Upfront deposits are non-refundable
• Partial deliverables will be provided upon payment

9.2 Our Termination Rights

We reserve the right to terminate a project if:

• Client fails to make timely payments
• Client violates these Terms
• Client requests illegal or unethical work
• Communication breakdowns prevent project progress

10. Website Use and Restrictions

You agree not to:

• Use the Website for unlawful purposes
• Attempt to gain unauthorized access to our systems
• Copy, scrape, or download content without permission
• Transmit malicious code or viruses
• Impersonate us or misrepresent affiliation

11. Indemnification

You agree to indemnify and hold harmless Monank Sojitra from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Dispute Resolution
